What if the next big telecom battle in India takes place in space rather than on the ground?

India’s satellite internet market is heating up as Elon Musk’s Starlink awaits final approvals to launch its services, while Reliance Jio has proposed a network of around 1,600 low-Earth-orbit satellites. Bharti Airtel, through its association with Eutelsat OneWeb, is also competing in this emerging space.

The rivalry gained attention this week after Musk alleged that vested interests were delaying Starlink’s entry into India. Meanwhile, Jio’s ambitious satellite plan signals that the competition could extend beyond traditional mobile and broadband services.

For India, this race could improve internet access in remote areas. For investors, it raises an important question: Who will lead India’s next phase of digital connectivity?

Why Starlink Is Waiting

Starlink, operated by SpaceX, aims to provide high-speed internet through a network of satellites in low-Earth orbit. Unlike traditional broadband, which depends heavily on cables and local infrastructure, satellite internet can reach locations where building conventional networks is difficult or expensive.

This makes India an attractive market, given its large population, expanding digital economy and geographical diversity.

However, Starlink has yet to begin commercial operations in India. Although the company has secured important licences and regulatory authorisations, it is still awaiting outstanding approvals, including security-related clearances.

These requirements are important because satellite communication involves more than simply providing internet access. Authorities must consider national security, lawful access, network operations and the handling of user data.

Musk has argued that Starlink has spent years complying with Indian requirements and should be allowed to compete. He also suggested that powerful business interests were trying to protect their market positions.

The Indian government has rejected allegations of unfair treatment. Officials have maintained that satellite operators are subject to the same regulatory framework and must meet the necessary conditions before launching services.

Therefore, the dispute should not be viewed as proof that any particular company has deliberately blocked Starlink. The immediate issue is whether the remaining regulatory requirements can be completed and commercial services can begin.

The outcome matters because an early launch could help Starlink establish relationships with customers, businesses and distribution partners before competition intensifies.

Jio’s 1,600-Satellite Plan

Reliance Jio is not limiting its ambitions to mobile connectivity and fibre broadband. The company is also pursuing a satellite-based network designed to expand internet access and strengthen its position in India’s digital infrastructure market.

Jio has proposed a constellation of around 1,600 low-Earth-orbit satellites. Its plans also include ground stations to support communications between satellites and terrestrial networks.

According to reports, the proposed system could offer a total capacity of approximately 4.5–5 terabits per second. The project has received a favourable technical assessment from India’s space regulator, IN-SPACe, but technical evaluation does not mean that the complete network is already operational or that every approval has been secured.

The ambition is straightforward: use satellite technology to provide connectivity in areas where fibre and mobile networks are difficult to extend.

For example, a business operating in a remote industrial location may struggle to obtain reliable broadband. A satellite connection could help it access cloud software, communicate with customers and manage operations without waiting for extensive terrestrial infrastructure.

Satellite connectivity could also support mobile network backhaul, which allows telecom operators to connect remote mobile towers to their core networks.

However, building such a network is a massive undertaking. Satellites must be manufactured, tested, launched and maintained. Ground infrastructure and customer equipment must also be developed, while the company must secure the necessary orbital rights and regulatory permissions.

This means Jio’s plan is a long-term infrastructure project rather than an immediate commercial opportunity.

Its success will depend on execution, costs and how quickly the company can turn its proposal into a reliable service.

Airtel’s Position in the Race

The satellite internet market is not simply a contest between Jio and Starlink. Bharti Airtel also has a position through its investment in Eutelsat OneWeb, a satellite communications company with an established low-Earth-orbit constellation.

This gives Airtel access to an existing satellite network rather than requiring it to build an entire constellation from scratch.

However, having satellites in orbit does not automatically guarantee a commercially successful broadband service. Operators still need the necessary permissions, spectrum arrangements, ground infrastructure, compatible customer equipment and an effective distribution model.

The three players also have different strengths.

Starlink: SpaceX has extensive experience deploying and operating a large satellite constellation. Its existing infrastructure gives it a substantial head start in scale and operational experience.

Jio: The company brings a large Indian customer base, established telecom infrastructure, distribution capabilities and an ambitious domestic satellite-network proposal.

Airtel: Its association with Eutelsat OneWeb provides access to an established satellite network, while Airtel can use its existing relationships with businesses and telecom customers.

Each approach has advantages, but the ultimate winner will not necessarily be the company with the most satellites.

Coverage, connection quality, pricing, service reliability, customer support and the cost of user equipment will all influence adoption.

Competition could also take different forms. Companies may compete for consumers in remote locations, but they could also target enterprises, government agencies, maritime users and industries that need dependable connectivity in difficult terrain.

For India, having several capable providers could improve choice and reduce dependence on a single network.

What It Means for India’s Digital Economy

Satellite broadband could address a gap that conventional telecom infrastructure cannot always fill economically.

Building fibre networks across mountains, islands, forests and sparsely populated regions can be expensive. Installing mobile towers in remote locations also requires power, backhaul connectivity and regular maintenance.

Satellites offer another way to reach these areas, potentially improving access to digital services where conventional infrastructure is limited.

The benefits could extend across several sectors.

Education: Schools in remote areas could access online learning platforms, digital libraries and educational resources.

Healthcare: Better connectivity could support telemedicine, remote consultations and the transfer of medical information.

However, satellite internet is not automatically affordable for every household. Customer terminals, installation expenses, subscription prices and network capacity will determine how accessible these services become.

Satellite systems are also not a complete replacement for fibre or mobile networks. In densely populated areas, conventional infrastructure may remain more cost-effective for serving large numbers of users.

The most likely outcome is a complementary model in which fibre, mobile broadband and satellite connectivity serve different needs.

Investor Takeaway: Opportunity With Risks

India’s satellite broadband market presents a long-term opportunity, but investors should separate the industry’s potential from the commercial prospects of individual companies.

The first factor to watch is regulatory progress. Final security clearances, spectrum allocation and other permissions will determine when services can begin and how quickly providers can expand.

The second is execution. Jio’s proposed satellite constellation requires substantial investment, manufacturing capacity, launch arrangements and ground infrastructure. Delays or higher-than-expected costs could affect its commercial viability.

The third is pricing and demand. Satellite internet must offer sufficient value to attract customers. Businesses in remote locations may be willing to pay more for reliable connectivity, but household adoption will depend heavily on affordability.

1. Product-Level Commission Caps Are Back IRDAI has proposed bringing back commission limits based on the insurance product, distribution channel and policy duration. For individual life insurance, first-year commissions for distribution entities could range from 5% to 20%, while agent commissions could range from 6.25% to 25%, depending on the premium payment term.

For life insurance policies with longer payment terms, the permissible first-year commission increases. At the same time, renewal commissions are proposed at lower levels, encouraging distributors to focus not only on acquiring a policy but also on policy persistence.

3. Health Insurance Commissions Could Face Tighter Limits Health insurance distribution would also come under defined commission caps. The proposal suggests first-year commissions of up to 15% for distribution entities and 20% for agents, with lower limits for renewals and portability. This could directly affect distributors that rely heavily on health insurance sales.

4. Motor Insurance Faces a Major Reset The proposed framework could significantly change motor insurance distribution. Third-party motor insurance would carry zero commission for distributors, while commissions on other motor-related products would also face defined limits. The move is significant because third-party motor insurance is mandatory, leaving less room for commission-led distribution economics.

5. Expense of Management Limits Will Tighten IRDAI has proposed a five-year glide path to bring insurers’ Expense of Management (EoM) under tighter limits. For life insurers, the proposed limit would move to 15% within two years and 12.5% within five years. For general insurers, the corresponding limits would be 25% and 20%. 6. Incentives and Other Benefits Could Also Count as Commission The proposal aims to close the gap between headline commissions and other distributor payments. Incentives, rewards, selling-expense reimbursements and non-cash benefits could all be brought under the definition of commission. This means companies may have less flexibility to use additional payouts to compensate distributors beyond the prescribed limits.

7. Insurance Sales Could Become More Transparent The proposed reforms also target the way insurance is sold. IRDAI wants stronger safeguards against mis-selling and “dark patterns”, while also proposing restrictions on compulsory insurance bundling with loans. Banks and lenders selling insurance alongside loans could face commission caps of around 2%–5%, depending on the product.

Why Did Insurance Stocks Fall So Sharply?

The market reaction was immediate because commissions are a critical part of the economics of insurance distribution.

For distributors, a lower commission can directly reduce revenue earned from each policy sold. If operating expenses remain unchanged, lower revenue can translate into pressure on margins and earnings.

The concern is particularly significant for digital insurance platforms, where customer acquisition, technology, sales infrastructure and partner networks require substantial investment. A reduction in commission income could force these companies to increase policy volumes, improve operating efficiency or find additional sources of revenue.

IRDAI’s consultation paper highlights the scale of the issue. Between FY23 and FY25, new business premium generated through a sampled group of corporate agents increased 28% from ₹63,000 crore to ₹80,000 crore. However, total distributor remuneration increased 125%, from ₹9,580 crore to ₹21,600 crore.

In general insurance, broker commissions reportedly increased 173% between FY23 and FY25, while routed premiums grew at a considerably slower pace. IRDAI has used these trends to argue that distribution payouts need to be recalibrated.

This explains why investors reacted not only to the possibility of lower commissions but also to the potential structural change in the insurance distribution business model.

Which Companies Are Most Impacted?

The sharpest reaction was visible in insurance distributors, followed by insurers and financial companies with exposure to insurance distribution.

Market reports showed PB Fintech falling more than 30% during the September 24 session, while Turtlemint hit its 20% lower circuit. Max Financial Services also declined around 10%, while HDFC Life and ICICI Prudential Life faced significant selling pressure.

PB Fintech emerged as the biggest focus because Policybazaar operates as a large digital insurance marketplace and its economics are closely linked to insurance distribution. Jefferies estimated that a 10% reduction in new-business commission rates could translate into a 10–12% earnings decline for PB Fintech and Turtlemint.

Turtlemint also faced significant pressure because of its insurance distribution exposure. Its shares fell 20% to the lower circuit following the announcement.

Max Financial Services, HDFC Life and ICICI Prudential Life were also affected as investors assessed the potential impact of tighter distribution costs and commission structures on insurers’ business economics.

The impact is not limited to insurance companies. Banks and NBFCs that generate meaningful fee income through insurance distribution could also face pressure if commissions on bancassurance and loan-linked insurance decline.

How Could the Proposal Change Insurance Distribution?

The proposed rules could change the way insurance companies and intermediaries approach customer acquisition.

Historically, distributors have relied on commissions, incentives and other payments to build sales networks. If these payouts are reduced or capped, companies may have to focus more heavily on digital acquisition, renewals, customer retention and operating efficiency.

The proposal is particularly relevant to bancassurance. IRDAI has highlighted significant differences in distributor payouts across bank-insurer arrangements. For years, Tata Sons has remained behind the scenes. It owns stakes in some of the country’s most recognisable businesses, receives dividends from group companies and sits at the centre of the Tata Group’s unique ownership structure. Yet, unlike many of the companies it controls, Tata Sons itself has remained privately held.

That could now change.

The Reserve Bank of India rejected Tata Sons’ request to surrender its registration as a Core Investment Company on September 11, pushing the holding company closer to complying with the regulatory framework that requires certain large upper layer NBFCs to be listed. A few days later, the Tata Sons board decided to initiate steps to comply with the RBI’s direction and proceed with the process required for a possible listing.

The development has already caught the attention of stock market investors. Shares of Tata Chemicals, Tata Investment Corporation, Tata Motors Passenger Vehicles and Tata Steel have moved sharply as investors assess what a public valuation for Tata Sons could mean for their own holdings.

But there is an important distinction. Tata Sons has moved towards the listing process, but the final structure, valuation and timing are not yet known. Tata Trusts has also publicly stated that it has not agreed to the listing and wants alternatives to be examined.

So, what exactly could change for Tata Group stocks if Tata Sons eventually reaches Dalal Street?

Why Tata Sons Is Being Pushed Towards a Listing

The Tata Sons listing story is not entirely new. The issue goes back to the RBI’s regulatory framework for large Core Investment Companies and upper layer NBFCs.

Tata Sons was classified as an upper layer NBFC and subsequently sought to surrender its registration, which would have allowed it to avoid the listing requirement. The RBI rejected that request on September 11 and directed Tata Sons to take the necessary steps to comply with the applicable regulatory framework.

This decision is significant because Tata Sons is not a conventional operating company. It is the principal holding company of the Tata Group and has stakes across a large number of businesses.

Reuters reported that Tata Sons had standalone assets of around ₹1.75 lakh crore as of March 2025 and owned stakes in 31 Tata Group companies. Under the RBI framework, large upper layer NBFCs that meet the relevant asset and public fund criteria can face mandatory listing requirements.

The Tata Sons board has now moved towards compliance. However, the process still has several stages ahead.

That means investors should view the current development as the beginning of a potentially important corporate restructuring story rather than an already announced IPO with a fixed date and price.

Tata Sons Is at the Centre of the Tata Ownership Structure

To understand why the market is paying attention, it is important to understand what Tata Sons actually represents.

Tata Sons sits at the centre of the Tata Group’s ownership structure. Tata Trusts owns about 66% of Tata Sons, while the Shapoorji Pallonji Group owns about 18.37%. Various Tata Group companies and other shareholders own the remaining portion.

This structure makes Tata Sons very different from a conventional listed holding company.

A large part of its economic value comes from its investments across the Tata ecosystem. These include stakes in major listed businesses such as Tata Consultancy Services, Tata Motors, Tata Steel, Tata Power, Tata Consumer Products and Indian Hotels, among others.

That is why a Tata Sons listing could introduce something the market currently does not have: a publicly traded valuation for the holding company itself.

At present, investors can observe the market value of Tata Group companies individually. However, Tata Sons remains private, making it harder for the market to establish a continuously visible value for the parent company and its underlying investments.

A listing could therefore create a new layer of price discovery.

The question is how that value would eventually flow through to the Tata companies that already trade on Indian exchanges.

Tata Chemicals and Tata Investment Come Into Focus

The immediate market interest has centered on companies that directly own shares in Tata Sons.

Tata Chemicals is one of the most closely watched names because it owns around 2.5% of Tata Sons. Tata Investment Corporation is another important company because of its investment exposure to the Tata ecosystem.

According to Economic Times, six listed Tata Group companies collectively hold an estimated ₹1.4 lakh crore stake in Tata Sons. Tata Chemicals holds around 2.5%, while Tata Steel and Tata Motors Passenger Vehicles each hold around 3.1%. Other companies, including Tata Power, Tata Consumer Products and Indian Hotels, also have smaller holdings.

This is where the potential value unlocking argument comes from.

If Tata Sons receives a transparent market valuation after listing, investors could use that valuation to reassess the value of Tata Sons shares held by these listed companies.

For example, Economic Times estimated Tata Chemicals’ Tata Sons holding at around ₹30,000 crore based on its valuation assumptions. The report also estimated Tata Sons’ overall market value at around ₹11.9 lakh crore based on the value of its stakes in group companies.

These figures are estimates and should not be confused with an official Tata Sons valuation.

The actual outcome could be very different depending on the eventual IPO structure, valuation and holding company discount.

The market reaction nevertheless shows why investors are paying attention. On September 17, Tata Chemicals gained about 6.5%, Tata Investment Corporation rose 5.5%, Tata Motors Passenger Vehicles gained 4.5% and Tata Steel advanced 2.8%, according to Times of India.

Could a Tata Sons Listing Unlock Value Across the Group?

The biggest potential change is valuation transparency.

Imagine an investor owning a holding company whose major assets are publicly traded companies. The value of those investments can be calculated, but the holding company itself may trade at a discount because its shares are not publicly listed and investors cannot easily buy or sell them.

This is commonly referred to as a holding company discount.

A Tata Sons listing could reduce some of that uncertainty by establishing a public market price.

For companies such as Tata Chemicals, Tata Steel and Tata Motors Passenger Vehicles, the impact could be particularly relevant because they hold meaningful stakes in Tata Sons.

However, value unlocking should not be interpreted as an automatic increase in share prices.

The market could apply a discount to Tata Sons even after listing. The valuation of the IPO could also be lower or higher than estimates currently circulating in the market. There could also be tax implications, changes in ownership and other structural considerations.

Mint reported that Tata Chemicals’ approximately 2.5% Tata Sons holding could become more visible after a listing, but also highlighted that the ultimate impact would depend on Tata Sons’ listing valuation and the materiality of each company’s holding.

This distinction is important.

A public listing creates price discovery. It does not guarantee that the market will assign full value to every underlying asset.

For investors, the eventual valuation will therefore matter just as much as the listing itself.

The Tata Trusts Factor Could Shape the Road Ahead

There is another part of the story that makes this potential listing more complicated.

Tata Trusts owns the majority of Tata Sons and has publicly opposed the idea of listing the company.

In a statement released on September 17, Tata Trusts said it had not agreed to the listing and that all available options should be examined. The Trusts also pointed out that Tata Sons had previously decided in March 2024 to remain unlisted and that the Sir Dorabji Tata Trust and Sir Ratan Tata Trust had reiterated that position in 2025.

The disagreement means that the regulatory requirement and the Tata Group’s internal ownership structure are now closely connected.

The Tata Sons board has moved towards compliance, but shareholder approval and corporate governance considerations remain important.

The situation is also relevant because the Shapoorji Pallonji Group, which owns about 18.4% of Tata Sons, has backed a potential listing.

Tata Trusts has also proposed an alternative route involving the potential monetisation of a portion of the Shapoorji Pallonji Group’s Tata Sons stake, with a proposed transaction that could generate at least ₹25,000 crore. The proposal includes a selective capital reduction process and other funding avenues.

This means the final route could involve more than a straightforward IPO.

For investors, the next developments around regulatory compliance, shareholder discussions and the eventual structure will be crucial.

What Investors Should Watch From Here

The Tata Sons story has moved from speculation into a more serious regulatory and corporate process, but there are still several unanswered questions.

The first is the valuation.

Market estimates have placed Tata Sons’ potential value in the range of several lakh crore rupees, but these are estimates rather than an official IPO valuation. The final number will depend on the value of its listed and unlisted investments, liabilities, ownership structure and the discount investors assign to the holding company.

The second is the IPO structure.

Investors will want to know whether the listing would involve an offer for sale, fresh capital or another structure. The amount of shares available to public investors could also influence the eventual valuation and liquidity.

The third is the impact on Tata companies holding Tata Sons shares.

Tata Chemicals, Tata Steel, Tata Motors Passenger Vehicles and Tata Investment Corporation are among the names that could receive greater market attention because of their direct exposure. Other Tata companies with smaller holdings could also see their investments reassessed.

The fourth is the Tata Trusts position.
